Terms of Use

These Terms of Use govern access to and use of the website operated by AMAR CAS TECHNOLOGIES INC. (“AMAR CAS,” “we,” “us,” or “our”). By accessing, browsing, or otherwise using this website, you acknowledge that you have read, understood, and agreed to these Terms of Use. If you do not agree, you must discontinue use of the website.

All website content is proprietary or used under authorization. No image, rendering, diagram, animation, technical depiction, interface, written description, or other material may be reproduced, extracted, adapted, distributed, commercially exploited, or used to develop competing technology without AMAR CAS’s prior express written authorization obtained through both info@amar-cas.com and legal@amar-cas.com. Unauthorized use may result in immediate civil proceedings, injunctive relief, monetary liability, recovery of profits and enforcement costs, and, where the statutory requirements are satisfied, referral for investigation of applicable offences. All patent, copyright, trademark, trade-secret, contractual, and other rights are expressly reserved.

1. Informational purpose

This website provides general corporate, scientific, technical, and research-related information concerning AMAR CAS and technologies currently under development.

The content is provided solely for informational and discussion purposes. It does not constitute:

  • medical advice or clinical guidance;
  • instructions for the use of a medical device;
  • an offer to sell or supply any product;
  • a representation that any technology is commercially available;
  • engineering, regulatory, legal, investment, or other professional advice; or
  • an invitation to use any technology in the diagnosis or treatment of a patient.

No person should make clinical, technical, investment, or commercial decisions in reliance on this website.

2. Technology under development and regulatory status

Technologies, products, workflows, interfaces, visualizations, applications, and capabilities described or depicted on this website may remain under research, development, testing, validation, or regulatory evaluation.

Unless expressly stated otherwise in writing by AMAR CAS, no statement on this website should be interpreted as representing that any product or technology has received regulatory clearance, approval, authorization, certification, registration, or permission for clinical or commercial use in any jurisdiction.

Illustrations, animations, renderings, demonstrations, simulations, prototypes, and procedural scenarios may be conceptual, developmental, simplified, or representative in nature. Actual systems, specifications, performance, functionality, and intended uses may differ.

3. Ownership of website content

Except where expressly identified otherwise, this website and all materials appearing on it are owned by, licensed to, or lawfully used by AMAR CAS and are protected by applicable intellectual-property laws.

Protected materials may include, without limitation:

  • text and written descriptions;
  • photographs and images;
  • medical and anatomical illustrations;
  • three-dimensional models and renderings;
  • videos and animations;
  • diagrams and workflow representations;
  • interface designs and visualizations;
  • logos, names, slogans, and brand elements;
  • technical concepts and system architectures;
  • software demonstrations;
  • graphics, icons, layouts, and website design;
  • research materials and technical documentation; and
  • compilations, arrangements, and selections of content.

Copyright protection may apply automatically to original literary, artistic, dramatic, photographic, software, and other creative works. Canadian copyright law generally prohibits another person from exercising the copyright owner’s exclusive rights without consent, subject to applicable statutory exceptions.

All rights not expressly granted in these Terms are reserved.

4. Prohibited use and reproduction

No licence, assignment, transfer, authorization, or other right is granted merely because content has been made publicly accessible through this website.

Except where expressly permitted by applicable law, no person or organization may, without AMAR CAS’s prior express written authorization:

  • reproduce, copy, download, capture, scrape, extract, republish, display, distribute, transmit, modify, adapt, translate, or create derivative works from website content;
  • use any image, illustration, rendering, animation, diagram, model, interface, concept depiction, workflow, or technical description for commercial, promotional, research, competitive, fundraising, educational, or product-development purposes;
  • incorporate website content into a presentation, publication, proposal, patent filing, regulatory submission, marketing material, training dataset, artificial-intelligence system, software product, or commercial service;
  • reverse engineer, reconstruct, imitate, replicate, benchmark, or derive technical implementations from any depicted AMAR CAS system;
  • remove or alter copyright notices, ownership markings, watermarks, metadata, attribution, rights-management information, or confidentiality notices;
  • falsely suggest an affiliation, endorsement, partnership, sponsorship, authorization, or commercial relationship with AMAR CAS;
  • use AMAR CAS content in a manner that is misleading, defamatory, unlawful, or prejudicial to AMAR CAS; or
  • assist another person in carrying out any prohibited activity.

Permission requests must be submitted in writing to info@amar-cas.com and legal@amar-cas.com. No permission is effective unless expressly granted in a written authorization issued by an authorized representative of AMAR CAS.

Silence, failure to respond, prior communication, website access, attribution, or the inclusion of a link to this website does not constitute permission.

5. Intellectual-property enforcement

AMAR CAS actively reserves and protects its intellectual-property, proprietary, commercial, and legal interests.

Unauthorized use of website content may constitute copyright infringement, trademark infringement, passing off, breach of contract, misappropriation of confidential or proprietary information, unfair competition, or another actionable violation, depending on the nature of the conduct and the applicable jurisdiction.

Where unauthorized conduct relates to a patented invention or otherwise falls within the scope of a valid patent claim, it may also give rise to patent-infringement proceedings. Under the Canadian Patent Act, a person who infringes a patent may be liable for resulting damages, and a court may grant injunctive relief restraining continued unauthorized use, manufacture, or sale of the patented subject matter.

To the fullest extent permitted by law, AMAR CAS reserves the right to pursue any and all available remedies, including:

  • immediate injunctive or interlocutory relief;
  • orders requiring the cessation of use;
  • removal, destruction, delivery up, or disabling of infringing materials;
  • damages, statutory damages, an accounting of profits, or reasonable compensation;
  • recovery of legal fees, expert expenses, investigation costs, and court costs where available;
  • preservation and disclosure orders;
  • claims against individuals, corporations, officers, directors, contractors, agents, distributors, and other participating parties; and
  • referral to appropriate regulatory, administrative, law-enforcement, or other governmental authorities where the facts and applicable law warrant such referral.

AMAR CAS is not required to provide advance notice, a warning, a licence opportunity, or an opportunity to cure before seeking emergency or other legal relief.

Certain knowing commercial copyright violations may also constitute offences under the Canadian Copyright Act. Whether civil or criminal consequences apply depends on the specific facts and statutory requirements; they are determined by the competent authorities and courts, not by this website notice.

6. No licence to patents, technology, or know-how

Nothing on this website grants, expressly or by implication, estoppel, acquiescence, or otherwise, any licence or right under:

  • any patent or patent application;
  • any copyright;
  • any trademark;
  • any industrial design;
  • any trade secret;
  • any confidential information;
  • any proprietary algorithm, method, workflow, system, or process; or
  • any other intellectual-property or proprietary right belonging to AMAR CAS or another party.

Descriptions of AMAR CAS technology are provided at a general level and must not be interpreted as authorization to practise, reproduce, implement, test, manufacture, commercialize, or seek protection over any disclosed or inferred invention.

No failure or delay by AMAR CAS in enforcing any right shall constitute a waiver of that right.

7. Trademarks and company names

The names AMAR CAS, AMAR CAS TECHNOLOGIES INC., associated logos, product names, service names, slogans, and distinguishing brand elements may constitute trademarks, trade names, or other protected indicia.

They may not be copied, displayed, registered, used in domain names, social-media accounts, advertisements, metadata, keywords, products, services, presentations, or promotional materials without prior written authorization.

Nothing on this website grants permission to use any AMAR CAS name, logo, mark, or brand element.

8. Third-party names, devices, and materials

This website may refer to third-party companies, institutions, medical devices, imaging systems, navigation systems, software products, headsets, or platforms.

Such references are provided for identification, technical context, compatibility discussion, or illustrative purposes only. Unless expressly stated in writing, they do not imply sponsorship, endorsement, certification, affiliation, partnership, interoperability approval, or any commercial relationship.

All third-party trademarks, names, images, and other materials remain the property of their respective owners.

9. No confidentiality through website access

Nothing displayed publicly on this website should be interpreted as creating a confidentiality obligation owed by a visitor to AMAR CAS unless a separate written agreement applies.

Conversely, sending unsolicited confidential, proprietary, patent-sensitive, patient-identifying, or commercially sensitive information to AMAR CAS does not create a confidentiality, fiduciary, advisory, or other protected relationship.

Do not submit confidential information unless an appropriate written nondisclosure agreement has first been executed by authorized representatives of all relevant parties.

10. Acceptable use

You must not use the website in any manner that:

  • violates applicable law;
  • interferes with the website’s operation or security;
  • attempts to gain unauthorized access to any system or data;
  • introduces malicious code;
  • conducts automated scraping, extraction, crawling, or data harvesting;
  • impersonates AMAR CAS or another person;
  • misrepresents the source or status of website content;
  • facilitates infringement or other unlawful conduct; or
  • imposes an unreasonable burden on website infrastructure.

AMAR CAS may restrict or terminate access, preserve relevant evidence, and take legal or technical measures in response to suspected misuse.

To the fullest extent permitted by applicable law, AMAR CAS disclaims all express, implied, statutory, and collateral representations and warranties, including warranties of:

  • system compatibility; and
  • suitability for clinical, regulatory, commercial, investment, or research use.

AMAR CAS does not warrant that the website will be uninterrupted, error-free, secure, or free from harmful components.

12. Limitation of liability

To the fullest extent permitted by applicable law, AMAR CAS and its directors, officers, employees, founders, researchers, consultants, contractors, affiliates, licensors, and representatives shall not be liable for any direct, indirect, incidental, consequential, exemplary, special, punitive, or economic loss arising from or relating to:

  • access to or use of the website;
  • inability to access the website;
  • reliance on website content;
  • use of third-party links or services;
  • loss of data, opportunity, revenue, profit, reputation, or business; or
  • unauthorized access, cyber incidents, errors, omissions, or interruptions.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

13. Indemnification

To the fullest extent permitted by law, you agree to indemnify and hold harmless AMAR CAS and its directors, officers, employees, founders, representatives, affiliates, licensors, and contractors from claims, proceedings, liabilities, damages, losses, costs, and expenses, including reasonable legal fees, arising from:

  • your misuse of the website;
  • your violation of these Terms;
  • your infringement of intellectual-property or other rights;
  • your unlawful use or distribution of website content; or
  • content or materials you submit through the website.

Links to third-party websites are provided only for convenience or informational purposes.

AMAR CAS does not control, endorse, warrant, or assume responsibility for third-party content, products, services, security, availability, or privacy practices. Access to third-party websites is at your own risk and subject to their terms.

15. Changes to the website and these Terms

AMAR CAS may modify, suspend, remove, or discontinue any portion of the website or these Terms at any time.

The revised Terms become effective when posted, unless a later effective date is expressly stated. Continued use of the website after publication of revised Terms constitutes acceptance of those revised Terms to the extent permitted by law.

16. Governing law and jurisdiction

These Terms and all matters arising from or relating to the website shall be governed by the laws of the Province of Québec and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

Subject to any mandatory legal requirements, the courts located in the judicial district of Montréal, Québec shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the website.

17. Severability and entire agreement

If any provision of these Terms is found invalid, illegal, or unenforceable, that provision shall be limited or severed to the minimum extent required, and the remaining provisions shall continue in full force.

These Terms, together with the Privacy Policy and any other legal notices expressly incorporated by reference, constitute the entire agreement governing use of the website.
